Corporate Counsel

The Corporate Counsel will focus heavily on drafting, reviewing, and managing the organization’s high-volume commercial contracts, vendor agreements, and non-disclosure agreements (NDAs). Coming from a disciplined law firm or corporate background, this individual will possess an advanced understanding of document review and foundational risk allocation. While immediate CDMO expertise is not required, the candidate must possess the intellectual agility to rapidly learn the business and scale into a highly autonomous advisor.

Essential Duties and Responsibilities

  • Commercial Contracting: Draft, review, and negotiate general commercial agreements, Statements of Work (SOWs), license agreements, and vendor contracts.

  • Legal Research & Analysis: Conduct detailed research into shifting state, federal, and international corporate laws, translating findings into actionable risk-mitigation recommendations for the business.

  • Corporate Support: Assist the legal team with corporate record-keeping, preparation of documentation for strategic transactions, and internal policy enforcement.

  • Process Modernization: Partner with the paralegal function to streamline the contract workflow, ensuring rapid 24–48 hour turnarounds on standard commercial requests.

  • Litigation & Query Support: Assist in managing information requests and supporting internal stakeholder queries regarding active contract provisions or minor disputes.

Qualifications & Experience

  • Education: Juris Doctor (J.D.) from an accredited US law school and an active license to practice law in good standing in at least one US state bar.

  • Experience: Minimum of 4–6 years of corporate transactional experience, preferably originating within a reputable corporate law firm setting.

  • Specialized Skills: Exceptional contract drafting mechanics, strong foundational knowledge of commercial risk distribution, and a highly collaborative approach to problem-solving.

Compensation Data

The pay rate for this role is up to $175k/yr (15% bonus). Please note that salaries vary within the range based on factors including, but not limited to, experience, skills, education, certifications, and location.
