The Senior Corporate Counsel will serve as the primary deputy and strategic second-in-command to the General Counsel. This individual must function with extreme independence, taking complete ownership of complex commercial negotiations, risk allocation, and departmental scaling. The ideal candidate brings deep, non-negotiable expertise within the life sciences or Contract Development and Manufacturing Organization (CDMO) sectors, enabling immediate delegation of critical matters without the need for micro-review.

High-Stakes Contract Negotiation: Autonomously draft, review, and negotiate highly complex Master Services Agreements (MSAs), CDMO agreements, clinical trial agreements (CTAs), and strategic vendor partnerships.
Independent Escalation & Risk Management: Evaluate and resolve sophisticated legal, regulatory, and business risks; confidently manage complex negotiations with external law firms, clients, and partners.
Cross-Functional Advisory: Provide proactive, broad-based analysis and counsel to executive leadership on specialized operational areas including data privacy, healthcare compliance, employment law, and intellectual property.
Operational Leadership: Assist the General Counsel in designing, implementing, and enforcing company-wide legal policies, procedural workflows, and compliance frameworks.
Outside Counsel Management: Oversee and manage specialized outside counsel on litigation, complex intellectual property portfolios, and domestic regulatory matters to ensure cost-effective, high-quality deliverables.
Education: Juris Doctor (J.D.) from an accredited US law school and an active license to practice law in good standing in at least one US state bar.
Experience: Minimum of 8–12 years of transactional legal experience, with a heavy preference for a combination of AmLaw top-tier firm training and in-house life sciences or CDMO corporate experience.
Specialized Skills: Documented expertise in complex risk allocation, biotechnology manufacturing frameworks, data privacy regulations (GDPR/CCPA), and healthcare compliance infrastructure.
The pay rate for this role is up to $236k/yr (18% bonus). Please note that salaries vary within the range based on factors including, but not limited to, experience, skills, education, certifications, and location.
